FOXLINK’s Sustainability Operations and Development

With the authorization of the Board of Directors, FOXLINK has established the Company Governance and Sustainable Operation Committee in 2021, then the Company Governance Team and the Sustainable Operation Team were established respectively. The Committee is responsible for formulating strategies and sustainable development policies and plans on economic, social and environmental topics concerned by stakeholders. It also regularly tracks and evaluates the progress and effectiveness of their implementation. The Committee reports to the Board of Directors semi-annually on the material topics of sustainable development, performance on key indicators, stakeholder communication, and short, medium, and long-term development strategies. The sustainability goals and progress on various issues are approved by the board of directors, and the sustainability report is also issued upon the board’s approval.

While pursuing business growth, FOXLINK also strives to maintain public welfare and the sustainable development of environmental ecology. The company and its group companies are committed to and declare their dedication to promoting Corporate Social Responsibility (CSR). They have established methods for fulfilling corporate responsibility and regularly review the effectiveness to ensure the complete implementation of the Responsible Business Alliance (RBA) Code of Conduct.

FOXLINK’s Sustainability Operations Team is responsible for implementing tasks related to social responsibility, formulating the Group’s social responsibility and ethical policies. The top management and all employees are committed to adhering to these policies and thoroughly implementing them. The company continuously improves working conditions and employee welfare , establishes and implements a robust social responsibility management system, and formulates the FOXLINK Supplier Code of Conduct for Social Responsibility. These requirements are extended to suppliers, contractors, and others to meet the expectations of stakeholders such as customers, governments, and the public.

Sustainability Policy

The Governance and Sustainability teams, considering international trends and relevant standards, has formulated FOXLINK’s Sustainability Policy. This policy encompasses three major aspects: corporate governance, environment, and society, comprising a total of seven key principles. It serves as the highest guiding spirit for the Company’s sustainable development and aligns with the publicly disclosed sustainable development principles, thereby advancing the path toward sustainability. Based on this Sustainability Policy, various policies and codes have been established, including but not limited to the following: Code of Corporate Integrity, Corporate Governance Best Practice Principles, Code of Practice on Sustainable Development, Risk Management Policy, Information Security Management Policy, Labor Policy,Ethics Policy, Environmental Policy, Occupational Health and Safety Policy, Energy Policy, and Conflict Minerals Policy. These are detailed in their respective chapters.

Fulfill the Code of Conduct for Integrity in Business Operations

The Group upholds the principle of corporate integrity. On March 11,2011, the Board of Directors approved the “Code of Corporate Integrity.” On November 12,2021, the Corporate Governance Team and Sustainable Operation Team was established, responsible for formulating and supervising policies related to corporate integrity, anti-corruption, anti-bribery, and regulatory compliance. The team reports regularly to both the committee and the Board of Directors. The Corporate Governance and Sustainable Operation Committee convenes at least twice a year, It reviews annual execution plans submitted by each team at the beginning of the year, with biannual reports on implementation progress. These plans and reports are scrutinized by the committee and subsequently presented to the Board of Directors.

To further ensure the implementation of corporate integrity, all employees sign an “Integrity Commitment Letter”. An internal audit mechanism is in place to prevent bribery and corruption from occurring during business activities. The Group also requires all suppliers to sign a “Supplier Integrity Commitment Letter,” clearly outlining the rights and obligations of both parties in the contract and requiring adherence to integrity standards.

In 2024, the group completed the promotion and training of the Code of Corporate Integrity, and no incidents of anti-competitive or anti-monopoly violations occurred.
