Declaration of the Corporate Social Responsibility Policy

Declaration
Based on corporate philosophy of sincerity, foresight and responsibility, as one of the Taiwan top 100 corporations, we are dedicated in fulfilling our corporate social responsibilities and endeavors to improve the public welfare and environment protection in addition to the pursuit of sustainable business growth. We and our affiliates of the Foxlink Group commit that we are devoted to develop and implement Corporate Social Responsibility (CSR), and assess performance periodically to comply with the RBA of Conduct and similar regulations.

1. Responsible Business Alliance

We hereby commit to comply with the standard of the RBA that:
1.1 To uphold the human rights of workers. This applies to all workers including temporary, migrant, student, contract, direct employees, and any other type of worker. To comply with the standards of labor, including chose employment freely and work voluntary, avoid using child labor, protect the right and health of woman labor, non-discrimination, no harsh and inhumane treatment, compensation paid to workers shall comply with all applicable wage laws and freedom of association.

1.2 To provide workers with a safe and healthy work environment, including ensure the occupational safety, provide emergency preparedness, manage occupational injury and illness, control industrial hygiene, identify, evaluate and control physically demanding work, evaluate machine safeguarding and provide ready access to clean toilet facilities, potable water and sanitary food preparation, storage, and eating facilities.

1.3 To recognize that environmental responsibility by producing world class products. In manufacturing operations, adverse effects on the community, environment and natural resources are to be minimized while safeguarding the health and safety of the public. The environmental standards are: obtain all required environmental permits, approvals and registrations, prevent pollution and reduce resource, identify and manage chemicals and other materials posing a hazard if released to the environment, monitor and control wastewater and solid waste generated from operations, industrial processes and sanitation facilities, monitor and control air emissions generated from operations, adhere to all applicable laws, regulations and customer requirements regarding prohibition or restriction of specific substances.

1.4 To uphold the highest standards of ethics including uphold the highest standards of integrity in all business interactions, not offer or accept bribes or other means of obtaining undue or improper advantage, disclose information regarding business activities, structure, financial situation and during the transaction, perform in accordance with any applicable anti-corruption law (ex. FCPA), respect to intellectual property rights, uphold standards of fair business, advertising and competition, maintain programs that ensure the confidentiality and protection of supplier and employee whistleblower, be responsible for sourcing of minerals, protect the reasonable privacy expectations of personal information of everyone whom does business with and comply with privacy and information security laws and regulatory requirements, has a communicated process for its personnel to be able to raise any concerns without fear of retaliation.

1.5 To adopt or establish a management system whose scope is related to the content of this CSR commitment. The management system contains the following elements: comply with a corporate social and environmental responsibility policy statements, identify responsibility of company representatives and review the status of the management system on a regular basis, identify, monitor and understand applicable laws, regulations and customer requirements, establish a process to identify the environmental, health and safety and labor practice and ethics risks , determination of the relative significance for each risk, make plans to improve the social and environmental performance, assess performance periodically, make programs for training managers and workers, establish a process for communicating to workers.

2. Commitment of Mineral Conflict-Free

Foxlink commits that no conflict minerals from those high-risk areas or high-risk entities which identified by RBA,OECD and customers is used in the raw materials provided by itself and its suppliers , and the metals contained in raw materials are in compliance with the regulations of  DRC Conflict-Free. According to the strategies and practices of 3TG in Conflict-Free Sourcing Initiative (CFSI,http://www.responsiblemineralsinitiative.org),Foxlink conducts the due diligence and evaluates all raw materials which are provided by suppliers and raw material supply chain to ensure Ta,Sn,W,Au,Co (3TG) and their derivatives do not come from high-risk areas or high-risk entities, and also do not finance or benefit the armed groups and entities that are perpetrators of serious human rights abuses in the Democratic Republic of the Congo or an adjoining country or other areas, but conflict-free minerals in these areas or country cannot be resisted; Foxlink explicitly requires suppliers to comply with the above policies and measures.

Foxlink adopts the standard conflict mineral report template(CMRT) developed by Conflict-Free Sourcing Initiative (CFSI) to conduct the due diligence of 3TG to raw material suppliers , and is committed to being 100% survey; also to pushing the declared smelters and refineries to be certificated 100% by CFSI or other international organizations; to ensure Foxlink meets the social responsibility requirement of conflict-free in supply chain.

3. Demand for suppliers

In addition to its commitment to self-regulation with the most stringent standards, Foxlink also promotes suppliers to compliance with social responsibilities. Foxlink established a supplier social responsibility management procedure based on RBA, laws and regulations, and customer requirements, etc., and adopted various channels to communicate the social responsibility policies and regulations to suppliers.According to the management procedure ,Company carries out social responsibility compliance audit for new suppliers and major suppliers in respect of labor, human rights, ethics, and the environment to promote all suppliers to comply with social responsibility requirements.

It is known that Foxlink is doing the business with our sincerity and with our long-established business culture of integrity. We expect all colleagues to conduct business according to the highest ethical standard as well. In order to ensure the integrity of all transactions, we would like to have you to comply with any and all Foxlink’s integrity standards and rules. Please do not request, accept or receive any bribe, commission, treatment, personal gain, or anything of value, including cash, securities, gifts, and/or favorable benefits of any kind, including travel, meals, lodgings, and entertainments, made by or from vendors or suppliers of Foxlink. All colleagues are also expected to observe our Corporate Social Responsibility standards and rules, as any conduct contradicting these standards and rules is strictly forbidden. We hope to ensure that each business transaction is conducted with integrity by each colleague in Foxlink family, and we sincerely expect all colleagues to follow both the integrity and Corporate Social Responsibility standards and rules mentioned above. We believe, by following these standards and rules, our cooperative relationships with customers shall be well maintained and closely developed.

Any violation of any standard or rule mentioned above, which may cause a receipt of any bribe, commission, treatment, personal gain, or anything of value made by or from vendors or suppliers of Foxlink, or any conduct contradicting our Corporate Social Responsibility standards and rules proved to be true will result in immediate and appropriate discipline actions made by Foxlink. For any damage resulting from such violation or conduct, Foxlink is entitled to make a claim pursuant to the applicable law.
